While it goes against everything within me (and everything I encourage you toward in my writings), I\u2019m handing you procrastinators the win today.&nbsp;<\/span><\/p>\n<p><span style=\"background-color:white;\">Congratulations. Just try not to let this become a habit.&nbsp;<\/span><\/p>\n<p>I discussed the basics of BOI reporting in a previous writing this year \u2013 which covered the details you needed to know to avoid frightening non-compliance penalties. Up until last week, the Financial Crimes Enforcement Network (FinCEN) was poised to penalize procrastinating business owners who failed to file by January 1st, 2025.<\/p>\n<p>But, this is legislation we\u2019re talking about \u2013 and the government is nothing if not fickle.<\/p>\n<p><a href=\"https:\/\/www.cooley.com\/news\/insight\/2024\/2024-12-05-federal-district-court-enjoins-enforcement-of-corporate-transparency-act-beneficial-ownership-information-reporting-requirements-nationwide\"><span style=\"color:#1155CC;\">As of last week<\/span><\/a>, the entire BOI reporting situation has been flipped on its head. And if you hadn\u2019t yet filed, you\u2019ve saved yourself some time and effort (temporarily, at minimum; permanently, at best).<\/p>\n<p>For the rest of you, this is my digital pat on the back for being proactive. And my reassurance that your effort wasn\u2019t in vain \u2013 this decision is expected to be repealed (if or when that happens, <i>you\u2019ll<\/i> be the one gloating over the procrastinators. We\u2019ll be sure to let you know when the moment comes).&nbsp;<\/p>\n<p>So, regardless of FinCEN\u2019s finicky behavior, the bottom line is this: You still need to be prepared to comply with BOI reporting requirements for your Southeastern FL business.&nbsp;<\/p>\n<p><span class=\"text-huge\"><strong>Beneficial Ownership Information: Updates for Southeastern FL Business Owners<\/strong><\/span><br \/><span class=\"text-small\"><i>\u201cTake complete ownership of your outcomes by holding no one but yourself accountable.\u201d \u2013 Gary W. Keller<\/i><\/span><\/p>\n<p><span style=\"font-family:Georgia, serif;\">Beneficial ownership information (BOI) reporting feels like a big (confusing) bowl of alphabet soup right now if you\u2019re a business owner. If you don\u2019t know what I\u2019m talking about (and statistics show that only about&nbsp;<\/span><a href=\"https:\/\/www.journalofaccountancy.com\/news\/2024\/nov\/boi-update-6-5-million-of-32-million-reports-filed-so-far.html#:~:text=By%20Martha%20Waggoner&amp;text=With%20less%20than%20two%20months,from%20businesses%20formed%20in%202024.\"><span style=\"color:#1155CC;font-family:Georgia, serif;\">20 percent<\/span><\/a><span style=\"font-family:Georgia, serif;\"> of you have a clue), then let me help you out.&nbsp;<\/span><\/p>\n<p><span style=\"font-family:Georgia, serif;\">The Corporate Transparency Act or CTA (passed in 2021) enacted a requirement for all businesses with beneficial ownership to report identifying information for each beneficial owner to the Financial Crimes Enforcement Network (FinCEN) \u2014 and that requirement went into effect on January 1, 2024.<\/span><\/p>\n<p><span style=\"font-family:Georgia, serif;\">Now, the real question you have to ask yourself is this: \u201cDoes BOI reporting affect <i>my&nbsp;<\/i>business?\u201d<\/span><\/p>\n<p><span style=\"font-family:Georgia, serif;\">Unfortunately, there\u2019s no short answer to that question. Up until a few days ago, you would be dealing with a nasty penalty (<\/span><span style=\"background-color:white;color:#0D0D0D;font-family:Georgia, serif;\">591 dollars per day at best, or imprisonment and criminal fines up to 10k at worst<\/span><span style=\"font-family:Georgia, serif;\">) if you failed to file by January 1st, 2025.&nbsp;<\/span><\/p>\n<p><span style=\"font-family:Georgia, serif;\">But on December 3rd, the CTA was&nbsp;<\/span><a href=\"https:\/\/www.journalofaccountancy.com\/news\/2024\/dec\/nationwide-injunction-halts-boi-reporting-for-now.html\"><span style=\"color:#1155CC;font-family:Georgia, serif;\">declared unconstitutional<\/span><\/a><span style=\"font-family:Georgia, serif;\"> \u2013 meaning, the fast-approaching deadline isn\u2019t an issue, for the time being. So, let me get you up to speed on everything you <i>now<\/i> need to know about BOI reporting.&nbsp;<\/span><\/p>\n<p><span style=\"font-family:Georgia, serif;\"><strong>Refresher: What is BOI reporting?&nbsp;<\/strong><\/span><br \/><span style=\"font-family:Georgia, serif;\"><i>(Skip this section if you know all of this already.)<\/i><\/span><\/p>\n<p><span style=\"font-family:Georgia, serif;\">Ce<\/span><span style=\"background-color:white;color:#0D0D0D;font-family:Georgia, serif;\">rtain businesses have to disclose information (like names, addresses, identification documents, etc.) of people who have ownership in the company \u2013 those who own at least 25 percent of the company or have significant decision-making power \u2014to FinCEN.&nbsp;<\/span><\/p>\n<p><span style=\"background-color:white;color:#0D0D0D;font-family:Georgia, serif;\">Why? Well, the argument is that it helps combat financial crimes\u2026 money laundering, tax evasion, fraud, and other nefarious activities because shell companies and other opaque structures are used to hide the true ownership of assets. BOI reporting is meant to help eliminate this anonymity. (The jury\u2019s out on whether or not these regulations will actually help with this.)<\/span><\/p>\n<p><span style=\"background-color:white;color:#0D0D0D;font-family:Georgia, serif;\">The businesses usually in the hot seat are LLCs, corporations, S corporations,&nbsp;<\/span><span style=\"background-color:white;font-family:Georgia, serif;\">limited partnerships, limited liability partnerships, and business trusts (and if you\u2019re up for some <i>light<\/i> reading, FinCEN has a&nbsp;<\/span><a href=\"https:\/\/www.fincen.gov\/boi-faqs#C_2\"><span style=\"background-color:white;color:#1155CC;font-family:Georgia, serif;\">detailed list<\/span><\/a><span style=\"background-color:white;font-family:Georgia, serif;\"> of exempt entities).&nbsp;<\/span><\/p>\n<p><span style=\"background-color:white;font-family:Georgia, serif;\"><strong>What\u2019s the current BOI situation?<\/strong><\/span><\/p>\n<p><span style=\"background-color:white;font-family:Georgia, serif;\">On December 3rd, the U.S. District Court for the Eastern District of Texas flipped BOI reporting on its head \u2013 the Corporate Transparency Act (CTA) reporting requirements are now put on hold, nationwide.&nbsp;<\/span><\/p>\n<p><span style=\"background-color:white;font-family:Georgia, serif;\">This decision,&nbsp;<\/span><a href=\"https:\/\/www.bloomberglaw.com\/public\/desktop\/document\/TexasTopCopShopIncetalvGarlandetalDocketNo424cv00478EDTexMay28202?doc_id=X3PI3GTJP5E9HSPN0JK6CAU8E8G\"><span style=\"background-color:white;color:#1155CC;font-family:Georgia, serif;\">Texas Top Cop Shop v. Garland (E.D. Tex.; 12\/24)<\/span><\/a><span style=\"background-color:white;font-family:Georgia, serif;\">, goes even further than an earlier&nbsp;<\/span><a href=\"https:\/\/cases.justia.com\/federal\/district-courts\/alabama\/alndce\/5:2022cv01448\/183445\/51\/0.pdf?ts=1709398196\"><span style=\"background-color:white;color:#1155CC;font-family:Georgia, serif;\">Alabama ruling<\/span><\/a><span style=\"background-color:white;font-family:Georgia, serif;\"> on the same issue. While FinCEN clarified that the Alabama case applied only to the parties involved in that litigation, this Texas court made it clear: its ruling applies to all entities nationwide.&nbsp;<\/span><\/p>\n<p><span style=\"background-color:white;font-family:Georgia, serif;\">The court found that both the statute itself and its final implementing rule are likely unconstitutional. The reasoning? The CTA exceeds Congress\u2019s authority under the Constitution \u2013 undermining their initial effort toward transparency.<\/span><\/p>\n<p><span style=\"background-color:white;font-family:Georgia, serif;\">So, that January 1, 2025 deadline you were sweating (or not if you were still \u201cblissfully\u201d ignorant)? Gone, at least for now. However \u2013 legal challenges like this often evolve, and compliance could still become a reality later on. For now, here\u2019s what you should focus on:<\/span><\/p>\n<p><span style=\"background-color:white;font-family:Georgia, serif;\"><i><u>If you already filed<\/u>\u2026<strong>&nbsp;<\/strong><\/i>you\u2019ll want to keep your&nbsp;<\/span><span style=\"font-family:Georgia, serif;\">beneficial ownership information <\/span><span style=\"background-color:white;font-family:Georgia, serif;\">records handy. If the injunction gets overturned or new rules drop, you\u2019ll want to be ready to pivot without scrambling for paperwork.<\/span><\/p>\n<p><span style=\"background-color:white;font-family:Georgia, serif;\"><i><u>If you haven\u2019t filed yet<\/u>\u2026&nbsp;<\/i>don\u2019t get too comfy now. This legal drama could flip at any moment, so get your BOI reporting documents in order, just in case: <\/span><span style=\"background-color:white;color:#0D0D0D;font-family:Georgia, serif;\">The full legal name, date of birth, residential address, and an identification document with a unique identification number for each beneficial owner (FinCEN\u2019s&nbsp;<\/span><a href=\"https:\/\/www.fincen.gov\/beneficial-ownership-information-reporting-rule-fact-sheet\"><span style=\"background-color:white;color:#1155CC;font-family:Georgia, serif;\">BOI Reporting Rule Fact Sheet<\/span><\/a><span style=\"background-color:white;color:#0D0D0D;font-family:Georgia, serif;\"> can help guide you here).<\/span><\/p>\n<p><span style=\"background-color:white;color:#0D0D0D;font-family:Georgia, serif;\">And regardless of whether or not you already filed, stay in the loop. Keep tabs on appeals or new rulings from FinCEN or the IRS that could change compliant requirements (and put those terrifying penalties back into effect).<\/span><span style=\"background-color:white;color:#0D0D0D;\">&nbsp;<\/span><\/p>\n<p>&nbsp;<\/p>\n<p>This ruling might give you a breather, but the beneficial ownership information drama is far from over.
